1. Acceptance of Terms

By accessing or using VampJam, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our service. You must be at least 13 years old to use VampJam. If you are under 18, you must have parental or guardian consent.

2. Description of Service

VampJam is an AI-powered music generation service that creates backing tracks for musicians to practice with. We provide tools for music practice including loop mode, chord detection, metronome, tempo training, EQ, stem separation, pitch shifting, practice recording, playlists, setlists, and a community sharing feature. VampJam is also available as a Progressive Web App (PWA) with limited offline functionality for subscribed users.

3. User Accounts

To use VampJam, you must create an account. You are responsible for:

Maintaining the confidentiality of your account credentials
All activities that occur under your account
Notifying us immediately of any unauthorized use
Providing accurate and current account information

4. Tokens and Payments

VampJam uses a token-based system for track generation:

Free accounts receive a one-time welcome bonus of 3 tokens (1 token = 1 track generation)
Stem separation costs 1 additional token per track
Subscriptions provide monthly token allocations that reset each billing cycle
Annual subscribers receive all tokens upfront (equivalent to 10 months)
Token packs are one-time purchases that do not expire
Tokens are non-refundable and non-transferable
Unused monthly subscription tokens do not roll over to the next month
If a generation fails, your token is automatically refunded

All payments are processed securely by Stripe. We do not store your full payment details.

5. Subscriptions

Auto-Renewal

Your subscription automatically renews at the end of each billing period (monthly or annually) at the then-current price. You will be charged the full subscription amount on your renewal date. By subscribing, you authorize us to charge your payment method on a recurring basis.

Cancellation

You may cancel your subscription at any time via Settings > Billing or by contacting support@vampjam.com. Cancellation takes effect at the end of your current billing period — you retain full access to your subscription features until then. After cancellation, your account reverts to the free tier. Your saved tracks and recordings are not deleted.

Upgrades and Downgrades

Upgrades take effect immediately with prorated billing. Downgrades are scheduled for the end of your current billing period so you do not lose features you have already paid for.

Price Changes

We reserve the right to change subscription pricing with 30 days' notice via email. Continued use after the effective date constitutes acceptance of the new pricing.

6. Refund Policy

Subscriptions: No refunds for unused subscription time. If you cancel within 24 hours of a renewal charge, contact support for a courtesy review.
Token packs: Non-refundable once purchased. Unused tokens do not expire.
Failed generations: Tokens are automatically refunded when generation fails.
Chargebacks: We reserve the right to suspend your account if you initiate a payment dispute without first contacting support@vampjam.com.

7. Content Ownership & AI-Generated Music

Your Content

You retain ownership of any recordings you make and any tracks you upload to VampJam. By uploading content, you grant us a limited license to store and serve that content back to you and to anyone you explicitly share it with.

AI-Generated Backing Tracks

VampJam uses third-party AI music generation services to create backing tracks. Generated tracks are provided for personal practice and jamming use. You may freely use, download, and practice over any tracks you generate. VampJam does not claim ownership of tracks you generate.

AI Content Acknowledgments

You acknowledge that:

Generated tracks may resemble existing compositions despite AI training safeguards
We do not warrant that generated audio is original or free of copyright claims
AI providers may update models, affecting output quality or availability
Generated content is not guaranteed to match your specifications exactly
Copyright protection for AI-generated content may be limited under applicable law, as copyright typically requires human authorship

Commercial Use Disclaimer

Commercial redistribution of raw AI-generated audio (selling beats, distributing on streaming platforms, licensing to others, etc.) is subject to the terms of the underlying AI music generation service. It is your responsibility to verify commercial rights before monetizing or redistributing generated tracks.

Your Practice Use is Protected

Using generated tracks for personal practice, jamming, learning, and skill development is the intended use of VampJam and is fully permitted. This includes sharing tracks with bandmates, teachers, or students for educational purposes.

8. Acceptable Use

You agree not to:

Use the service for any unlawful purpose
Attempt to reverse engineer or extract our AI models or systems
Resell or redistribute generated content without verifying commercial rights
Abuse the service or attempt to bypass usage limits or rate limits
Share your account credentials with others
Use automated scripts, bots, or scrapers to access the service
Attempt to circumvent security measures, authentication, or access controls

Rate Limiting & Fair Use

To ensure service quality for all users, we enforce rate limits on API usage. Patterns indicating abuse (continuous generation at rate-limit thresholds, automated access, or excessive requests) may result in temporary or permanent account suspension.

9. Community Content

When you submit tracks to the VampJam community or share tracks via public links, you agree not to share content that:

Violates third-party copyrights or trademarks
Contains explicit hate speech, harassment, or threats
Impersonates another user or individual
Solicits payment or promotes commercial services without permission
Contains malware, exploits, or security vulnerabilities

VampJam reserves the right to remove community content and suspend accounts that violate these rules. All community submissions are subject to admin review.

10. AI-Generated Content Disclaimer

AI-generated music may occasionally vary from requested parameters (key, tempo, style). We strive for accuracy but cannot guarantee that every generation will perfectly match your specifications. You may use the "Try Again" feature to regenerate tracks that don't meet your expectations.

Third-Party AI Provider

Generated backing tracks are created by third-party AI services. VampJam does not create, train, or control the underlying AI models. We are not liable for copyright infringement in generated audio, similarity to existing compositions, defects or artifacts in generated audio, or changes to AI provider terms or availability.

11. Copyright & DMCA

VampJam respects the intellectual property rights of others. If you believe that content available on VampJam infringes your copyright, you may submit a notice pursuant to the Digital Millennium Copyright Act (DMCA) to:

Your notice must include:

Identification of the copyrighted work allegedly infringed
Identification of the allegedly infringing material and its location on VampJam
Your contact information (name, address, email, phone)
A statement of good faith belief that the use is not authorized
A statement under penalty of perjury that the information is accurate
Your physical or electronic signature

We will investigate valid notices and respond within 10 business days. We may disable access to infringing content and may terminate accounts of repeat infringers.

12. Recording Feature

VampJam's practice recording feature requests microphone access through your browser. Your recorded audio is stored securely and is private by default — only you can access your recordings unless you explicitly share them.

You are responsible for obtaining consent from anyone whose voice or performance appears in your recordings. Do not record others without their knowledge and consent, as this may violate privacy or wiretapping laws in your jurisdiction.

13. Indemnification

You agree to indemnify and hold harmless VampJam, its owners, employees, and agents from any claims, damages, losses, or costs (including reasonable attorney fees) arising from:

Your violation of these Terms
Your use of the service in violation of applicable law
Your recordings or uploads that infringe third-party rights
Your commercial redistribution of AI-generated tracks without proper rights
Content you submit to the community that violates third-party rights

14. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted service. We may perform maintenance, updates, or experience outages. We are not liable for any losses due to service unavailability. Offline functionality via the PWA is limited to cached content and select practice tools — track generation, account sync, and payments require an internet connection.

15. Limitation of Liability

VampJam is provided "as is" and "as available" without warranties of any kind, whether express or implied. To the fullest extent permitted by law, we are not liable for:

Indirect, incidental, special, punitive, or consequential damages
Loss of profits, revenue, data, or business opportunities
Damages arising from service interruption or data loss
Third-party claims related to AI-generated content
Similarity between AI-generated tracks and existing compositions

Our total aggregate liability shall not exceed the amount you have paid us in the 12 months preceding the claim. Some jurisdictions do not allow limitation of liability; this clause applies to the fullest extent permitted by applicable law.

16. Termination

We may terminate or suspend your account at any time for violation of these terms, abuse of the service, or for any other reason at our discretion. Upon termination, your right to use the service ceases immediately. You may request export of your data prior to termination.

17. Changes to Terms

We may modify these terms at any time. We will notify you of significant changes via email or through the service at least 30 days in advance for material changes. Continued use of VampJam after changes take effect constitutes acceptance of the new terms.

18. Governing Law

These terms are governed by the laws of the Commonwealth of Pennsylvania, United States, without regard to conflict of law principles. Any disputes arising from these terms shall be resolved in the state or federal courts located in Pennsylvania.
